Watch Insiders provides informational tools and alerts based on publicly available securities filings, including insider transaction filings made available through the U.S. Securities and Exchange Commission's EDGAR system.

The SEC provides public tools for accessing company filings, including insider transaction filings and full-text filing search.

Watch Insiders may process, summarize, categorize, index, or reformat public filing data to make it easier for users to monitor insider trading activity and related public disclosures.

2. Informational Purposes Only

Watch Insiders is provided for informational and research purposes only.

We do not provide investment advice, financial advice, legal advice, tax advice, or accounting advice. Nothing on Watch Insiders should be interpreted as a recommendation to buy, sell, hold, short, or otherwise trade any security or financial instrument.

You are solely responsible for your own investment decisions. You should consult a qualified financial, legal, tax, or investment professional before making financial decisions.

3. No Personalized Investment Advice

Watch Insiders does not provide advice tailored to your personal financial situation, investment objectives, portfolio, risk tolerance, income, tax status, or other individual circumstances.

Our alerts and tools are based on user-selected preferences, public filing data, and automated processing. They are not personalized recommendations.

This distinction is important because the Investment Advisers Act includes an exclusion for certain bona fide financial publications of general and regular circulation, and SEC materials describe that exclusion as generally applying to impersonal publications that are not adapted to a specific client portfolio or individual needs.

4. No Guarantee of Accuracy, Completeness, or Timeliness

Although we aim to provide useful and timely information, Watch Insiders may contain errors, delays, omissions, stale information, duplicate data, incorrect classifications, or incomplete alerts.

Public filing data may also contain errors, amendments, late filings, formatting issues, or inconsistencies. You should independently verify all information using official sources, including SEC.gov, before relying on it.

We do not guarantee that:

• any alert will be delivered;
• any alert will be delivered on time;
• any data will be complete, accurate, or current;
• any insider transaction will be detected;
• any filing will be categorized correctly;
• any service will be uninterrupted or error-free.

5. User Accounts

To use certain features, you may need to create an account. You agree to provide accurate information and to keep your login credentials secure.

You are responsible for all activity under your account. You must notify us promptly if you believe your account has been accessed without authorization.

We may suspend or terminate your account if we believe you have violated these Terms, abused the service, attempted unauthorized access, or used the service in a way that may harm Watch Insiders or other users.

6. User Acknowledgement at Registration

By registering for Watch Insiders, you acknowledge and agree that:

Watch Insiders provides informational alerts and research tools based on public securities filings. Watch Insiders does not provide investment, financial, legal, tax, or trading advice. I am responsible for my own investment decisions and should verify information from official sources before relying on it.

This acknowledgement should appear as a required checkbox during registration.

7. Email Alerts and Notifications

Watch Insiders may send email alerts, account notices, product updates, and service-related messages.

By creating an account, you agree to receive service-related communications. You may unsubscribe from optional marketing communications, but we may still send important account, billing, security, legal, or service-related notices.

Free plans currently include email-based alerts. Future paid plans may include additional notification channels, such as Telegram or Discord.

8. Subscription Plans and Payments

Watch Insiders may offer free and paid subscription plans.

Paid features, pricing, billing periods, renewal terms, cancellation rules, and refund policies will be presented at or before checkout. Payments may be processed by third-party payment providers such as Stripe.

Unless otherwise stated at checkout:

• paid subscriptions renew automatically;
• you authorize us or our payment processor to charge your payment method;
• you may cancel future renewals through your account settings or by contacting us;
• cancellation does not necessarily entitle you to a refund for the current billing period;
• we may change pricing or plan features with notice where required.

9. Free Tier

Watch Insiders may offer a free tier with limited features. We may modify, limit, suspend, or discontinue the free tier at any time.

Free-tier users may be subject to limits on alerts, tracked companies, search history, notification channels, data retention, or other features.

10. Acceptable Use

You agree not to:

• scrape, copy, harvest, or bulk-download data from Watch Insiders without permission;
• reverse engineer, interfere with, or disrupt the service;
• attempt to bypass security or rate limits;
• resell, redistribute, sublicense, or commercially exploit the service without authorization;
• use the service for unlawful, abusive, fraudulent, or harmful purposes;
• misrepresent Watch Insiders data as official SEC data;
• use automated bots or scripts except where expressly permitted.

11. Intellectual Property

Watch Insiders, including its website, software, design, branding, database structure, alert logic, summaries, workflows, and user interface, is owned by Watch Insiders or its licensors.

Public securities filings remain public-source information, but our compilation, formatting, processing, categorization, alerts, and presentation may be protected by intellectual property and database rights where applicable.

You may use Watch Insiders for your own personal or internal business research purposes, subject to these Terms.

12. Third-Party Services and Data Sources

Watch Insiders may rely on third-party services, APIs, hosting providers, email providers, payment processors, messaging platforms, analytics providers, and public data sources.

We are not responsible for third-party services, outages, errors, changes, terms, or content.

References to third-party services do not imply endorsement.

13. No Professional Relationship

Your use of Watch Insiders does not create an adviser-client, fiduciary, attorney-client, accountant-client, broker-client, or other professional relationship.

Watch Insiders is not a broker-dealer, investment adviser, financial planner, law firm, accounting firm, or tax adviser.

14. Risk Disclosure

Securities investing involves risk, including the possible loss of principal.

Insider transaction data may be interpreted in many ways and may not indicate future stock performance. Insider purchases, sales, option exercises, grants, dispositions, or other reported transactions may occur for many reasons unrelated to a company's future prospects.

You should not rely on insider filing alerts as the sole basis for any investment decision.

15. Disclaimers

The service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Watch Insiders disclaims all warranties, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, non-infringement, availability, and reliability.

We do not warrant that the service will meet your needs or expectations.

16. Limitation of Liability

To the fullest extent permitted by law, Watch Insiders and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost investment opportunities, trading losses, business interruption, or reputational harm.

To the fullest extent permitted by law, our total liability for any claim relating to the service will not exceed the amount you paid to Watch Insiders in the twelve months before the claim arose, or $100, whichever is greater.

17. Indemnification

You agree to defend, indemnify, and hold harmless Watch Insiders and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

• your use of the service;
• your violation of these Terms;
• your violation of law;
• your infringement of another party's rights;
• your investment, trading, or financial decisions.

18. Changes to the Service

We may modify, suspend, or discontinue any part of the service at any time.

We may add, remove, or change features, plan limits, data sources, alert logic, pricing, or notification channels.

Your continued use of Watch Insiders after updated Terms become effective means you accept the updated Terms.

20. Termination

You may stop using Watch Insiders at any time.

We may suspend or terminate your access if you violate these Terms, create risk for Watch Insiders, misuse the service, or if we discontinue the service.

Sections intended to survive termination will remain in effect, including disclaimers, limitation of liability, intellectual property, indemnification, and dispute provisions.
